LEGAL AGREEMENT & SERVICE LEVEL TERMS

Terms and Conditions

Effective & Updated: October 2026 • TextilesFlow ERP & Smart IoT Solutions

Please read these Terms and Conditions carefully before using the TextilesFlow ERP cloud application, industrial IoT gateways, and telemetry services.

1. General Terms & Scope

By accessing, subscribing to, or implementing TextilesFlow ERP (operated by TextilesFlow ERP & Smart IoT Solutions, accessible via myfocushub.com), you confirm that you are legally bound by the terms and conditions outlined herein. These terms apply to all client accounts, weaving mill owners, loom supervisors, accountants, web portals, mobile apps, Smart TV dashboards, and associated IoT gateway hardware.

Under no circumstances shall the TextilesFlow ERP engineering team, founders, or affiliates be held liable for any direct, indirect, special, incidental, or consequential damages resulting from machine mechanical faults, factory electrical surges, third-party internet outages, or improper wiring executed by client personnel outside our installation guidelines.

TextilesFlow ERP reserves the right to update software features, release firmware updates, and optimize service terms. Continued use of our platform constitutes full acceptance of any revised terms.

2. License Grant & Permitted Use

Subject to active subscription status, TextilesFlow ERP grants your textile enterprise a revocable, non-exclusive, non-transferable, and limited SaaS license to access our cloud application, stream live telemetry, generate GST-compliant challans and invoices, and utilize our automated shift reporting engines.

This license is strictly granted for internal mill operations. You may not sublicense, rent, resell, duplicate, frame, or commercially redistribute our software interface, proprietary Modbus polling algorithms, or IoT gateway firmware to unauthorized third parties.

3. Client Data Ownership & Absolute Confidentiality

Your factory data belongs 100% to you. TextilesFlow ERP strictly acknowledges that all yarn inward records, beam allocations, sort formulations, loom pick counters, piece folding grades, weaver payout ledgers, customer pricing lists, and GST invoices entered or generated on our platform remain the exclusive intellectual and proprietary property of the client mill.

Zero Data Selling Guarantee: TextilesFlow ERP NEVER sells, trades, rents, or discloses your confidential fabric quality specifications, production speeds, or commercial records to competitors or unauthorized marketing agencies.

Any anonymized telemetry metrics (such as aggregate controller baud rates or network latency) processed by our servers are utilized strictly to enhance system reliability, firmware stability, and bug prevention.

4. Industrial IoT Gateway & Telemetry Hardware

TextilesFlow ERP provides dedicated industrial IoT Gateways (ESP32-S3 industrial architecture) to bridge loom microprocessors (Inovance, Wiltoptex / Bina, Toyota, Tsudakoma, Picanol, Stäubli, Bonas) with the cloud server over local Ethernet/Wi-Fi.

  • Zero Shed PC Footprint: Our system is engineered to eliminate the requirement of private shed computers. Hardware gateways push telemetry directly to the cloud without local database storage.
  • Electrical Safety & Grounding: The client factory is responsible for maintaining regulated 230V AC / 5V DC power and clean electrical grounding (neutral-to-earth < 2V) across all loom control panels to protect electronics from factory surges.
  • Gateway Maintenance & Warranty: Hardware gateways installed by our certified technicians come with a standard replacement warranty against manufacturing defects during active support contracts.
5. Subscriptions, Invoicing & Billing Terms

TextilesFlow ERP operates on flexible recurring subscription models (quarterly, semi-annual, or annual) calculated per configured loom machine.

  • All subscription invoices are issued with official GST tax compliance. Invoices must be cleared within 15 days of the due date to ensure uninterrupted live cloud telemetry.
  • Taxes and government levies (GST 18%) are applied in accordance with prevailing statutory norms in India.
  • If subscription payments become delinquent beyond the grace period, cloud telemetry streaming may be temporarily suspended until renewal reconciliation is completed.
6. Cancellation & Refund Policy

We pride ourselves on the real-world accuracy of TextilesFlow ERP. If, during the initial deployment of our trial service, the platform does not perform according to mutually agreed specifications, client mills are entitled to the following recourse:

  • 7-Day Cancellation Window: Clients may request subscription cancellation within 7 days of initial onboarding by submitting a written notice to support@textilesflow.com.
  • Hardware Return: Physical IoT gateways, power adapters, and diagnostic connectors in undamaged, factory condition must be returned to our Surat headquarters within 14 days of cancellation.
  • Refund Processing: Approved refunds for unutilized subscription periods are credited back to the client's verified bank account via NEFT/RTGS within 7 business days following receipt and inspection of returned hardware.
7. Single-Device Session Quota & Anti-Screenshot Policy

To protect proprietary textile manufacturing formulas, employee wage rates, and customer directories from unauthorized copying:

  • Strict Device Quota: Standard user logins are strictly enforced to exactly one active device session at any time. Company administrators are granted up to two simultaneous sessions. Logging in on an unauthorized secondary device automatically revokes the previous session.
  • Anti-Screenshot & Screen Shielding: The platform incorporates dynamic forensic watermarks and OS-level capture shielding. Users agree not to utilize third-party screen-scraping, recording hooks, or unauthorized extraction tools to harvest proprietary mill data.
8. Prohibited Actions & User Restrictions

You agree not to, and will not permit any third party to:

  • Decompile, reverse-engineer, disassemble, or attempt to derive the source code or Modbus protocol registers of TextilesFlow ERP or its gateway firmware.
  • Inject malicious scripts, automated bot queries, or unauthorized payload attacks into our cloud API or VLC/HDMI streaming ports.
  • Alter, remove, or obscure any proprietary copyright badges, brand logos, or security indicators displayed across the user interface.
9. Limitation of Liability & SLA

TextilesFlow ERP delivers an industry-leading 99.8% measurement accuracy and targets 99.9% cloud uptime. However, weaving machinery operation remains strictly under human operator control. TextilesFlow ERP does not assume liability for:

  • Yarn breakage resulting from sizing quality defects, mechanical tensioner misalignment, or shed humidity fluctuations.
  • Disruptions caused by factory power cuts, local broadband/SIM ISP dropouts, or external force majeure events.
10. Governing Law & Surat Jurisdiction

These Terms and Conditions shall be governed by, construed, and enforced in accordance with the laws of India. Any legal dispute, arbitration, or proceeding arising under or in connection with TextilesFlow ERP shall be subject to the exclusive jurisdiction of the competent courts in Surat, Gujarat, India.
